KolmarBNH to Absorb Wholly Owned Subsidiary HNG in No-Share-Issue Merger
KolmarBNH announced a small-scale merger in which it will absorb HNG, a subsidiary it owns 100%, with no new shares issued. This is an internal restructuring that does not change the ownership structure, and it leaves our view of the company largely unchanged.

What happened
On October 28, 2026, KolmarBNH filed a decision to merge with HNG (주식회사 에치엔지). KolmarBNH is the surviving company and HNG will be dissolved. The filing gives the purpose as improving management efficiency.
KolmarBNH already holds 100% of HNG, so this is a merger between a parent and its wholly owned subsidiary. The merger ratio is 1.0000000 : 0.0000000, and no new shares will be issued. The filing says the largest shareholder and governance structure will not change. No external valuation was required because no shares are issued.
HNG makes cosmetics and pharmaceuticals and sells them wholesale and retail. Its latest fiscal-year figures in the filing: revenue ₩101.2B, net income ₩2.5B, total assets ₩88.6B, total liabilities ₩26.9B and equity ₩61.8B. Its revenue is about 18.8% of KolmarBNH's trailing revenue of ₩538.2B, though HNG is presumably already included in the consolidated figures. The filing says the merger is not expected to bring a material change to financial structure or operations. It expects lower duplicated work and administrative costs, but gives no savings figures. The filing's size percentages relative to KolmarBNH's assets and equity are not available.
What it changes for the thesis
The previous report (October 21) described stable but shrinking revenue, weak bottom-line profit with negative net income, and a stock at a low multiple of book value. This merger does not contradict that picture. Because HNG is already a wholly owned subsidiary, consolidated revenue, profit and borrowings should not change materially because of the merger itself, according to the filing.
The possible benefit is cost efficiency, but no amount or timeline is given, so it cannot be counted on. The earlier concerns remain: negative trailing net income of -₩1.6B, a trailing operating margin of 6.1%, ₩108.1B of borrowings, and foreign ownership down to 2.7% from 4.6% sixty days ago.
What it changes for the valuation
The model estimate, based on the assumptions shown, is now ₩13,222 per share in the base case, ₩5,572 in the bear case and ₩27,112 in the bull case. The previous report had ₩12,979 base, ₩5,482 bear and ₩26,506 bull. The small rise in each case comes from a slightly lower discount rate of 6.9% versus 7.0%, not from the merger.
The latest share price is ₩7,220, down 5.6% over one month and 49.2% over one year, and at its 52-week low. The base case is about 83% above that price and the bear case is below it, so the range remains very wide. The stock trades at 0.5x book and 0.4x sales; P/E and EV/EBITDA are not available. Enterprise value is ₩239.7B. The estimate is not a price target or a signal to buy or sell.
Closing view
The evidence points to a routine, low-impact internal reorganisation. No shares are issued, control does not change, and the company itself says it expects no material financial effect. The efficiency gains are plausible but unquantified. The things that matter more for the valuation are still unresolved: negative net income, shrinking revenue, borrowings and falling foreign ownership. The model range is wide and should be read as a measure of uncertainty, not a forecast. Upcoming filings on profit, margins and borrowings will be more informative than this merger.
